Binding Legal Agreement
These Terms and Conditions constitute a legally binding agreement between you and Themis Property. By accessing our website, using our services, or engaging us for legal representation, you acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree to these terms, you must discontinue use of our website and services immediately.
These terms supplement and work in conjunction with our Terms of Service, Privacy Policy, and any engagement agreements. In the event of conflict, specific engagement agreements take precedence over these general terms for matters covered by those agreements.
User Obligations and Responsibilities
1. Legal Compliance
You agree to comply with all applicable laws, regulations, and professional standards when using our services. This includes Cyprus laws governing property transactions, anti-money laundering regulations, tax compliance requirements, data protection and privacy laws, and any other relevant legal frameworks. You are responsible for understanding and meeting your legal obligations in property transactions, and you must not use our services for any unlawful purpose.
2. Accurate Information
You must provide accurate, complete, and truthful information in all communications and documentation. This obligation extends to contact details, property transaction information, financial disclosures, identity verification documents, and any other information relevant to your matter. Providing false or misleading information may result in termination of services, potential legal consequences, and liability for any damages resulting from such misinformation.
3. Timely Cooperation
You agree to cooperate promptly and fully in the provision of services. This includes responding to requests for information or documentation within reasonable timeframes, attending meetings or consultations as scheduled, making timely decisions when required for matter progression, reviewing and approving documents when needed, and providing access to necessary third parties or resources. Delays in cooperation may affect service delivery and outcomes.
4. Prohibited Conduct
You must not engage in prohibited behaviors including making threats, using abusive language, or harassing staff, attempting to bribe or improperly influence legal processes, requesting services for illegal or fraudulent purposes, interfering with our services or systems, disclosing confidential information about other clients, or violating intellectual property rights. Such conduct may result in immediate termination of services and appropriate legal action.
5. Financial Obligations
You are responsible for payment of all fees, expenses, and disbursements as outlined in your engagement agreement. This includes paying fees according to agreed schedules, reimbursing reasonable expenses incurred on your behalf, maintaining adequate funds for transaction costs and government fees, and promptly addressing any billing inquiries or disputes. Non-payment may result in service suspension and collection actions as permitted by law.
6. Confidentiality
You must maintain confidentiality of sensitive information shared during our professional relationship, including details about our work product, strategic advice provided, information about other parties to transactions that is not public, and internal processes or methodologies. While we maintain attorney-client privilege for legal matters, you should also respect the confidential nature of the professional relationship.
7. Indemnification
You agree to indemnify and hold harmless Themis Property, its lawyers, employees, and agents from any claims, losses, damages, liabilities, and expenses arising from your breach of these terms, provision of false or misleading information, illegal activities or violations of law, negligence or willful misconduct, or violation of third-party rights. This indemnification survives termination of our professional relationship.
Liability and Warranties
1. Professional Standards
We provide legal services in accordance with professional standards applicable to lawyers in Cyprus. We exercise reasonable care, skill, and diligence in providing services. However, legal outcomes depend on many factors including court decisions, third-party actions, factual circumstances, and changes in law. We do not guarantee specific results or outcomes in legal matters.
2. Disclaimer of Warranties
Our website and informational content are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding website availability, accuracy of general information, freedom from errors or viruses, or fitness for a particular purpose. Website content is for general information only and does not constitute legal advice. Specific legal advice requires formal engagement and analysis of your particular circumstances.
3. Limitation of Liability
To the maximum extent permitted by law, our liability for any claims arising from our services is limited to the fees paid for the specific matter giving rise to the claim. We are not liable for indirect, consequential, incidental, or punitive damages including lost profits, business opportunities, or property value. This limitation applies regardless of the legal theory of liability, whether contract, tort, or otherwise.
4. Third-Party Actions
We are not responsible for actions or omissions of third parties including sellers, buyers, agents, government authorities, financial institutions, or other professionals involved in your transaction. While we coordinate with third parties on your behalf, their actions are beyond our control. We are not liable for delays, errors, or problems caused by third-party conduct.
5. Force Majeure
We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control including natural disasters, government actions, war or civil unrest, strikes or labor disputes, technological failures, or pandemic or public health emergencies. In such circumstances, we will make reasonable efforts to resume normal service as soon as practicable.
6. Professional Insurance
We maintain professional indemnity insurance as required by the Cyprus Bar Association. This insurance provides coverage for claims arising from professional negligence in accordance with regulatory requirements. Insurance coverage is subject to policy terms, conditions, and limitations.
7. Limitation Period
Any claims against us must be brought within the limitation periods prescribed by applicable law. Generally, claims must be initiated within six years from the date the cause of action accrued. This limitation period may vary depending on the nature of the claim and applicable legal provisions.
Legal Information and Dispute Resolution
1. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of Cyprus. Any legal proceedings arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Cyprus, unless otherwise agreed in writing.
2. Dispute Resolution
In the event of any dispute arising from our services or these terms, parties agree to first attempt resolution through good faith negotiation. If negotiation fails, parties may pursue mediation or other alternative dispute resolution before initiating formal legal proceedings. This does not limit either party's right to seek urgent injunctive relief when necessary.
3. Professional Complaints
If you have concerns about our professional conduct, you may file a complaint with the Cyprus Bar Association in accordance with their procedures. You also have the right to contact us directly to resolve concerns informally. We take all complaints seriously and maintain internal procedures for addressing client concerns.
4. Severability
If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent, or if such modification is not possible, it shall be severed from these terms.
5. Entire Agreement
These Terms and Conditions, together with our Terms of Service, Privacy Policy, Cookie Policy, and any executed engagement agreements, constitute the entire agreement between you and Themis Property regarding your use of our website and services. These terms supersede all prior or contemporaneous communications and proposals, whether oral or written.
6. Modifications
We reserve the right to modify these Terms and Conditions at any time. Changes will be effective upon posting to our website with an updated effective date. Material changes affecting existing client matters will be communicated directly to affected clients. Continued use of our services after changes are posted constitutes acceptance of modified terms.
7. Waiver
Our failure to enforce any provision of these terms does not constitute a waiver of that provision or our right to enforce it in the future. Any waiver must be in writing and signed by an authorized representative of Themis Property. No waiver of any provision shall constitute a waiver of any other provision or a continuing waiver.
8. Assignment
You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations under these terms in connection with a merger, acquisition, corporate reorganization, or sale of assets, provided the assignee agrees to honor these terms.
Age Restrictions and Legal Capacity
Our services are intended for individuals who have reached the age of majority in their jurisdiction and have legal capacity to enter into binding contracts. If you are under 18 years of age or otherwise lack legal capacity, you may only use our services through a parent, guardian, or legal representative who agrees to be bound by these terms on your behalf.
Property transactions typically require legal capacity to own property and enter contracts. We may request proof of age and legal capacity as part of our client verification procedures.
